Paul Hastings’ Antitrust and Competition team is seeking an Associate with at least four years of Hart-Scott-Rodino experience.
This position will consist of (1) counseling on all aspects of premerger notification filings under the Hart-Scott-Rodino Antitrust Improvements Act, (2) assisting with due diligence precautions and integration planning, and (3) assisting with Access Letter and Second Request responses.
Ideal candidates will have substantive experience ensuring compliance with U.S. antitrust law in mergers, acquisitions, and other related transactions with extensive familiarity with the Hart-Scott-Rodino Antitrust Improvements Act. Responsibilities include:
- Acting as Legal Counsel (Antitrust/Compliance). Conducting antitrust analysis and advising clients on pre-merger antitrust considerations and determining whether a transaction meets HSR filing requirements.
- Working closely with the M&A Practice Group (Deal Team) to oversee the transaction from inception, gathering information, and assisting with due diligence precautions and integration planning.
- Preparing and filing the HSR Form, while ensuring accuracy, and advising on strategic rationale, competitive overlaps, and supply relationships.
- Coordinating with external counsel with respect to HSR filings.
While candidates in other cities will be considered, the team is largely based in D.C., and the candidate must be admitted (or eligible to be admitted) to the Bar in the jurisdiction in which they are located. Please submit a cover letter, resume, and law school transcript.
The salary wage range that we expect to pay for this position is a minimum of $310,000 and a maximum of $435,000 (annually). The actual pay wage may vary based on experience or other relevant factors.
