Worthington Enterprises Completes Separation of Worthington Steel | Worthington Industries
Worthington Industries, Inc. (NYSE: WOR), a leading industrial manufacturing company, today announced the names and branding for the two companies resulting from the planned separation. Worthington Enterprises will include the Company’s Building Products, Consumer Products and Sustainable Energy Solutions businesses. Worthington Steel will be the Company’s Steel Processing business. The separation is expected to occur as early as December 2023, ahead of the originally projected timing of early 2024. The Worthington Enterprises name represents the organization’s strong heritage, entrepreneurial spirit, and market-leading brands and innovative products that improve lives. Worthington Steel honors the legacy of the Company’s history with a return to the original name of the steel processing business John H. McConnell founded in 1955. The icon is equally sharp-edged and smooth, alluding to the versatility of steel as a raw material and the role it will play in the energy transition.
Back in September 2022, Worthington Industries announced our intent to separate our Steel Processing business and Cylinder business into two independent, publicly traded companies. Creating two new independent companies will best position each organization to pursue attractive end markets, capitalize on differentiated growth and value creation strategies, and better serve their unique customers. Importantly, we also expect the separation to unlock value for shareholders and create exciting career development and advancement opportunities for employees. Following the completion of the separation: “Worthington Enterprises” will be a market leader with premier brands in attractive niche end markets in Consumer Products, Building Products and Sustainable Energy Solutions. As a more focused company, New Worthington will be better able to capitalize on key trends in sustainability, technology, construction and outdoor living. The joint ventures that will be part of New Worthington are WAVE and ClarkDietrich. “Worthington Steel” will be a best-in-class, value-added steel processor and producer of electrical steel laminations and automotive lightweighting solutions, poised for continued growth given expanding opportunities in electrification, sustainability, and infrastructure. The joint ventures that will be part of Worthington Steel are Spartan, TWB Company, Serviacero Worthington, Tempel, Worthington Samuel Coil Processing (WSCP) and Worthington Specialty Processing (WSP).
